These Terms of Use (“Terms”) govern your access to and use of the Tradezily website and downloadable trading software (collectively, the “Service” or “Platform”) provided by Paradoxo IT Solutions SRL (“Company,” “we,” “us,” or “our”). By accessing the website, signing up for the waiting list, downloading our software, or using any part of the Service, you (“User” or “you”) agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Tradezily Platform.

Please read these Terms carefully, as they contain important information regarding your rights, obligations, and limitations. These Terms also incorporate our Privacy Policy and Disclaimer by reference, so please review those documents as well. If you are subscribing to the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

By using Tradezily, you acknowledge that you have read, understood, and agree to these Terms of Use. This agreement is effective as of the date you first access the Platform or submit any information to us. If you do not agree, you should refrain from using the website or software.

We may update these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our site and updating the effective date, and, if you have an account or subscription, we may notify you via email or through the Platform. Continued use of the Service after changes have been posted constitutes your acceptance of the Terms as revised. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, cancel your subscription.

2. Eligibility

You must be at least 18 years old to use Tradezily. By accessing or using our Service, you represent and warrant that you are 18 or older, and that you have the legal capacity to enter into these Terms. The Service is not intended for and may not be used by minors. We reserve the right to request proof of age or identity at any stage to verify compliance with this requirement.

The Platform is offered worldwide and can be accessed from most countries. However, by using Tradezily, you are solely responsible for ensuring that your use complies with all laws and regulations applicable in your jurisdiction. If you are located in a region where the use of trading software or related services is illegal or restricted, you must refrain from using Tradezily. Although the Platform may be accessible globally, we make no representations that it is appropriate or available for use in all locations. Accessing the Service from territories where its content or operations are unlawful is prohibited. Those who choose to use Tradezily from outside Romania (or the European Union) do so on their own initiative and are responsible for compliance with local laws.

We do not allow usage by any person previously suspended or banned from our Service. If we have terminated your account or access in the past due to a violation of these Terms or unlawful behavior, you are not permitted to re-register or use the Platform.

3. Description of the Service

Tradezily is a software platform designed to assist users with trading-related activities by providing a modern user interface, analytics, and order-management tools on top of MetaTrader 5 (“MT5”). Our Platform currently operates as a waiting list for early access, and when live will offer a downloadable application under subscription. Key characteristics of the Service include:

UI Companion for MT5: Tradezily runs on your own device and connects locally to your installed MT5 terminal (via an Expert Advisor and a secure local TCP socket).
User-Initiated Orders Only: While Tradezily can compose and send trade instructions to your MT5 client, it never executes or automates trades independently—all orders remain under your sole control and are routed through your broker by the MT5 terminal.
No Custody or Market Access: We are not a broker, exchange, or custodian. We do not hold or move your funds; we simply provide the interface and analytics.
Analytical Tools: Features include market analysis, charting, back-testing, strategy import/export, trade planning, and one-click order preparation for MT5.
Subscription Model: Access to the full desktop application and premium features requires a paid subscription. Waiting-list registrants will be notified upon launch with pricing and plan options.
Global Availability: Subject to local eligibility and legal restrictions, Tradezily can be downloaded and used worldwide. The interface is currently in English; support is provided in English.

We reserve the right to modify or discontinue the Service (in whole or in part) at any time. This could include adding, removing, or changing features, introducing new modules, or retiring older ones. If you have a paid subscription and a change significantly reduces the Service’s functionality, we will endeavor to notify you and address the impact (for example, by offering a pro-rated refund if we had to discontinue a core feature you paid for).

4. Account Registration and Security

When our full platform launches (beyond the waiting list phase), you may need to create a user account to access the software and its features:

Account Creation: To create an account, you will need to provide certain information, including a valid email address and a secure password. You must provide accurate and complete information during registration and keep your account information updated. You agree not to use false identities or impersonate any other person or entity or use an email address that you are not authorized to use.
Password and Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password with anyone. If you believe your account has been compromised (for example, if you notice unauthorized access or suspect your password is known to others), you must notify us immediately at support@tradezily.com and promptly change your password. We use AWS Cognito to manage user authentication, which helps secure your login process, but the security of your account also depends on you using a strong password and safeguarding it.
Account Use: You are responsible for all activities that occur under your account. Any action taken through your account will be assumed to be authorized by you. We strongly recommend that you use unique credentials for Tradezily (not the same as you use on other services) and that you log out or secure your session when finished, especially if using a shared or public device.
Multiple Accounts: Each user should have only one account, unless explicitly permitted by us (e.g., if we introduce team or enterprise accounts in the future). Creating multiple accounts to circumvent restrictions or gain unfair advantages (such as multiple free trial redemptions) is prohibited.
Unauthorized Access: You agree not to attempt to gain unauthorized access to any portion of the Platform, accounts of other users, or any systems or networks connected to Tradezily, by hacking, password mining, or any other illegitimate means. If you engage in such behavior, it is a serious violation of these Terms and may result in immediate termination of your access and potential legal action.
Account Termination: You may choose to close your account at any time by contacting support. We may also terminate or suspend your account as described under Termination below. Upon termination of an account, your right to use the Service ceases (see Termination section for details on data handling).

5. Subscription Plans and Payments

Note: The following terms regarding subscriptions and payments will become applicable once Tradezily begins offering paid subscriptions (following the waiting list phase).

Subscription Requirement: Access to Tradezily’s full software and premium features requires an active subscription. We may offer different tiers of subscriptions (e.g., basic, pro) with varying features and pricing. Subscription information, including pricing and billing intervals (monthly, yearly, etc.), will be clearly presented at the time of purchase.
Free Trials and Promotions: We might offer a free trial period or introductory offers for new users. Such offers are subject to these Terms as well. Free trials are intended for new users only; existing or past subscribers may not be eligible. We reserve the right to modify or end promotional offers at any time.
Payment Processor: All payments for subscriptions are handled via Stripe on our behalf. When you subscribe, you will provide your payment details (such as credit or debit card information) through Stripe’s secure checkout. By entering your payment information, you authorize Stripe to charge the applicable subscription fees to your payment method. You acknowledge that Stripe will process your payment information subject to their terms and privacy policy, and that we do not receive your full card details.
Billing and Renewal: Subscription fees are typically charged in advance on a periodic basis (for example, monthly or annually) depending on your chosen plan. By signing up, you agree to automatic recurring billing. This means at the end of each billing period, your subscription will automatically renew for the next period and your provided payment method will be charged, unless you cancel beforehand. We will inform you of the renewal and billing details during the sign-up process. If pricing or terms of your subscription change, we will notify you in advance (usually via email or a notification on the Platform) and give you the opportunity to cancel if you do not agree to the new terms.
Cancellation: You may cancel your subscription at any time through your account settings or by contacting support@tradezily.com . If you cancel, you will continue to have access to the subscribed features until the end of your current billing period that you’ve already paid for. We do not provide refunds for partial periods after cancellation, except where required by law or at our sole discretion. For example, if you pay for a month and cancel mid-month, you generally will retain access until the period ends, but will not be refunded the remainder of the month.
Refunds: As a general policy, all charges are non-refundable. However, we want you to be satisfied with our Service. If you encounter a serious issue or are unsatisfied, please contact us – we may review refund requests on a case-by-case basis (for instance, if technical problems on our end prevented you from using the Service). Additionally, if you are a consumer in the European Union, you may have a statutory 14-day “cooling off” period from the day of purchase to cancel your subscription and receive a refund. By using Tradezily’s digital service immediately (for example, by downloading or logging into the software right after purchase), you acknowledge and agree that you waive the right to withdraw from the contract and request a refund under this cooling-off period, as permitted by law. This waiver is necessary to provide you immediate access to the digital content.
Failed Payments: It is your responsibility to ensure your payment information is current and valid. If a renewal payment fails (due to an expired card, insufficient funds, or otherwise), we will notify you and may retry the charge. If payment is not made within a certain grace period, we reserve the right to suspend or downgrade your account (for example, limiting access to the software or reverting to a free version if available) until payment is resolved. You agree to pay all amounts due for your subscription, including any applicable taxes or charges imposed by your payment provider.
Taxes: Subscription fees do not include any taxes that may apply. Depending on your location, you may be charged VAT (Value Added Tax), GST, sales tax, or similar taxes. Any such taxes will be added to the subscription charges as required by law. You are responsible for any bank fees, currency exchange fees, or other charges related to your payments. We will collect taxes where we are legally obligated to, and remit them to the appropriate authorities.
Stripe Terms: Since we use Stripe for payment processing, you may be subject to Stripe’s own terms of service when making a payment. While you do not interact with Stripe directly beyond the checkout interface, if any dispute arises related to payment processing (e.g., chargebacks), both Stripe’s policies and our policies will apply. We will work with you to resolve any billing issues in good faith.
Changes to Subscription: We reserve the right to adjust subscription plans, pricing, or features. If we introduce new features or plans, or change existing ones, we will not retroactively charge you more without your consent. Any price increase to your plan will be communicated and will apply only from your next billing cycle (with an option for you to cancel before it takes effect). Downgrading your plan may cause loss of content or features, so please check details before changing your subscription.

6. License and Permitted Use

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Tradezily software and access the Platform for your own personal or internal business use. All use of the Service must be lawful and in accordance with these Terms and any usage guidelines we may provide.

Permitted Uses: You may use Tradezily solely for its intended purpose of assisting in your trading analysis and decisions. This includes installing the software on your computers/devices, inputting your own trading data or preferences, and utilizing the tools and information provided for your personal benefit. If you have a valid subscription, you may use all features made available to you for the duration of your subscription.

Prohibited Uses: You agree NOT to do any of the following:

No Illegal Use: Do not use Tradezily for any unlawful purpose or in furtherance of illegal activities. You must comply with all applicable laws, regulations, and ordinances in your use of the Platform. This includes, for example, not using the software to manipulate markets in ways that are illegal (like insider trading, market abuse), and not violating any export control or sanctions laws by downloading or using the software in restricted regions.
No Financial Advice Reliance: Tradezily is not intended to provide financial or investment advice (see Disclaimer). You must not use any output from the Platform as a guaranteed indicator of any trading outcome or as a sole basis for making financial decisions. (While this is not something we can “enforce” as a platform, it is a condition that you acknowledge and accept – you are responsible for your own decisions.)
No Unauthorized Copying or Distribution: You may not copy, modify, distribute, sell, or lease any part of our software or Service that is not expressly permitted. Do not share your account or license with others outside your authorized use; for example, do not provide your login credentials to another person so they can use the software without paying. If a multi-user license or team feature is offered for businesses, each user must be properly licensed.
No Reverse Engineering: You shall not decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying ideas or algorithms of the Tradezily software, except to the limited extent allowed by law (and if any such law applies, you must first request the information from us). Any attempt to discover the software’s source code or trade secrets is strictly prohibited.
No Harmful Activities: Do not use the Platform in any manner that could damage, disable, overburden, or impair our servers or networks. For example, you may not initiate automated scripts or software that send excessive requests to our systems (outside of any API use explicitly allowed). Also, do not introduce viruses, malware, or any other harmful code into the website or software.
No Misuse of Content: The information and content provided by Tradezily (such as any text, graphics, software output, etc.) are for your personal use within the Platform. You should not scrape, extract, or harvest our data or content in an automated fashion for use outside the Platform. Also, refrain from using our content to create any kind of derivative database or service that competes with Tradezily.
No Violation of Others’ Rights: You may not use Tradezily to infringe upon the rights of others. This includes not sharing or uploading any content through the Platform that is defamatory, infringing on intellectual property rights, invasive of privacy, or otherwise injurious to any third party. Also, do not use the software to attempt unauthorized access to third-party systems or accounts.
Respect License Limitations: If your subscription or license has certain limits (for example, a limit on number of devices you can install on, or a limit on how many data calls you can make per minute), you agree to abide by those limits. Circumventing technical controls or using multiple accounts to exceed usage limits is a violation of these Terms.

We reserve the right to monitor usage for compliance (in accordance with our Privacy Policy). If we detect any prohibited use or suspect violation of these rules, we may take action including suspension or termination of your account and license (see Termination section), and possible legal action if warranted.

7. Intellectual Property Rights

All content and materials on the Tradezily Platform, including but not limited to the software, the website design, text, graphics, logos, button icons, images, data compilations, and software code, are the intellectual property of Paradoxo IT Solutions SRL or its licensors. These are protected by copyright, trademark, trade secret, and other intellectual property laws. We (and our licensors) retain all rights, title, and interest in and to the Platform and its content.

Tradezily Marks: “Tradezily” and our associated logos and taglines are trademarks/service marks of Paradoxo IT Solutions SRL. You are not granted any right or license to use these marks without our prior written permission. All other product or company names mentioned on the Platform may be trademarks of their respective owners and are used for identification purposes only.
Software License: The Tradezily software is licensed, not sold, to you under these Terms. Except for the limited license granted to you to use the software, all rights not expressly granted are reserved by us. You acknowledge that the structure, organization, and code of the software are valuable trade secrets of the Company and/or its suppliers. If you submit any feedback or suggestions about our software or Service, we may use them without obligation to you, and such feedback becomes our property.
Content Provided by Us: Any text, tutorials, or other content we provide (for example, blog posts, help documentation, or sample trading data) are for informational purposes and remain our property. You may not republish or exploit such content outside of the Platform without permission. Of course, you are free to use knowledge or techniques you learn from our content in your own trading, but the literal content (text, images) should not be copied and posted elsewhere as your own.
Your Data and Content: Tradezily might allow you to input or upload your own data (for example, you might import a list of your past trades, or notes, into the software). You retain ownership of any data or content you provide to the Platform. We do not claim ownership over your personal trading data or any custom inputs you make. By providing content or data to Tradezily, you grant us a license to use, process, and display that content only as necessary to provide the Service to you (for example, storing it for your later use, analyzing it to display backtest results to you, etc.). We will never use your personal data or content for other purposes without your consent, in line with our Privacy Policy.
Third-Party Materials: If the software or website includes any third-party open-source components or libraries, those are subject to their own licenses. We will provide attributions or license information in the documentation or within the software as required. Your use of those components is subject to the respective open-source licenses, which may grant you additional rights or impose additional restrictions (for example, some may allow you to see the source code of that component). Nothing in these Terms limits your rights under any such third-party license.

Any unauthorized use of the Tradezily Platform or content may violate intellectual property laws and these Terms. We reserve the right to enforce our intellectual property rights to the full extent of the law, including seeking injunctive relief and damages.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy (available on our website). By using Tradezily, you acknowledge that you have read the Privacy Policy. Key points include:

We collect certain data when you join the waiting list or use the Platform (like email, IP address, etc.) and use it as described in the Privacy Policy. We implement GDPR-compliant practices to protect your data and honor your rights.
We use third-party services like Stripe for payments and AWS for hosting, which process data under strict agreements with us.
We require you to give explicit consent for marketing emails, and you can opt out at any time.
We do not sell your personal data to third parties.
Security measures (including use of Google reCAPTCHA) are in place to protect your information and the integrity of the Service.
If you have any privacy-related questions or requests (such as exercising data subject rights), you can contact us as outlined in the Privacy Policy.

By using the Service, you also agree not to violate others’ privacy or data protection rights. For example, if the software allows you to input personal information of others (not typical for Tradezily’s intended use, but hypothetically), you must have the right to do so.

9. Disclaimer of Warranties

Tradezily is provided on an “AS IS” and “AS AVAILABLE” basis. While we strive to offer a high-quality and reliable Service, we cannot guarantee that it will be flawless or meet all your expectations. To the fullest extent permitted by applicable law, Paradoxo IT Solutions SRL disclaims all warranties, express or implied, in connection with the Service and your use thereof, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Specific disclaimers to note:

No Guarantee of Accuracy or Results: The information, analyses, or tools provided by Tradezily (such as any charts, signals, backtest results, or other outputs) are for informational and educational purposes. We do not guarantee the accuracy, completeness, or reliability of any information or results obtained through the Platform. Market data can be delayed or inaccurate, software algorithms might have bugs, or calculations might not reflect real-world conditions perfectly. You should independently verify any critical information before making decisions. Past performance or hypothetical outcomes shown in the software do not guarantee future results in actual trading.
Not Financial Advice: Tradezily is not a financial advisor. Nothing on our website or in our software constitutes professional investment advice or a recommendation to buy or sell securities or other financial instruments. We are not a broker-dealer or investment advisory firm, and we are not regulated by financial authorities to provide advice. You are solely responsible for any investment or trading decisions you make, and you should consult with licensed financial professionals if you need personalized advice. (See the separate Disclaimer for more on this.)
Operational Continuity: We strive for high availability, but we do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Occasional downtime for maintenance or due to technical issues may occur. We do not warrant that any errors or defects in the software will be corrected immediately, though we aim to fix issues promptly. You acknowledge that the internet and technology in general can be unpredictable and that downtime, data loss, or outages can happen.
Compatibility and Performance: We make no warranty that Tradezily will be compatible with your device or systems, or that it will work with any particular third-party software or hardware. It is your responsibility to ensure your system meets the minimum requirements (which we will publish) for running the software. Additionally, while we aim to provide useful insights, we do not warrant that using Tradezily will actually improve your trading performance or results – that depends on countless factors outside our control.
Third-Party Services: Any third-party services or content (such as data feeds from exchanges, or links to other websites) are not under our control, and we cannot guarantee their quality or availability. We disclaim responsibility for the services, information, or accuracy of any third-party content that might be integrated with or linked from our Platform. Use of third-party services (like Stripe, or reading content on a linked site) may be governed by those third parties’ own terms and privacy policies.
Viruses and Malicious Code: We do not warrant that our site, servers, or software are free of viruses or other harmful components, though we take precautions to protect our systems. You should use up-to-date security software (antivirus, firewall, etc.) on your devices as a precaution. Any material downloaded or obtained through Tradezily is done at your own discretion and risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, our warranties are limited to the minimum extent permitted by applicable law.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall Paradoxo IT Solutions SRL, its directors, officers, employees, or agents, be liable to you for any indirect, incidental, special, consequential, or punitive damages whatsoever. This includes, without limitation, damages for lost profits, lost opportunities, loss of data, trading losses, or other intangibles, arising out of or related to your use of (or inability to use) Tradezily, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of or should have known of the possibility of such damages.

Financial Loss: We will not be liable for any financial losses or damages that result from trading activities you undertake, even if those trades were influenced by information, analysis, or tools from Tradezily. Trading in financial markets is inherently risky, and you assume full responsibility for any decisions and transactions you make. Any losses incurred are solely your responsibility, not the Company’s.
Data Loss: We strive to protect your data (like your saved settings or trade history in the software). However, we are not liable for any loss or corruption of data or content that you may suffer. We encourage you to keep backups of any critical information you input into the Platform if possible.
Service Availability: If the Service is unavailable or malfunctioning at a critical time (for example, a moment when you wanted to access certain info before making a trade), we will not be liable for any outcomes (like missed opportunities or losses) resulting from that unavailability or error. Similarly, any delays or disruptions in the Service do not entitle you to claims for damages beyond perhaps a pro-rated refund if a prolonged outage occurs during a paid subscription (and such remedy is at our discretion).
Aggregate Cap: To the extent that any liability is not legally excludable, the total cumulative liability of Paradoxo IT Solutions SRL to you for any claims arising out of or related to these Terms or the use of the Service, regardless of the form of action, shall not exceed the total amount (if any) paid by you to us for the Service in the six (6) months immediately before the event giving rise to liability. If you have not paid anything (e.g., being on the free waiting list or a free trial), our liability is capped at zero or the minimum amount permitted by law.
Exceptions: Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, or fraud, or for death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law. However, these are generally not applicable as our Service should not involve physical harm, etc.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not fully apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Paradoxo IT Solutions SRL and its affiliates, and their respective directors, officers, employees, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

Your Use of the Service: Any use or misuse of Tradezily by you or by anyone using your account (whether or not authorized by you), including but not limited to violation of these Terms, or any activity related to your account (for example, negligent or wrongful conduct, or using the software in a way that causes harm to others or to our systems).
Violation of Law or Rights: Your violation of any law, regulation, or the rights of any third party in connection with your use of the Platform. For instance, if you were to use Tradezily in a way that infringes someone’s intellectual property, or if you engage in fraudulent or illegal conduct that implicates us, you will be responsible for the consequences.
Breach of Representations: Any breach of your representations and warranties under these Terms (such as the representation that you are 18 or older, or that you have the right to submit any content you upload).
Third-Party Actions: Any claim by a third party related to your actions. For example, if another person or entity sues us because of something you did (like posting defamatory information using our Service, hypothetically), you will indemnify us for that claim.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of such claim). You will not settle any claim that affects us or imposes any obligation on the Indemnified Parties without our prior written consent.

This indemnification obligation will survive the termination of your account or these Terms.

12. Termination

Termination by You: You may stop using the Service at any time. If you wish to delete your account, you can do so by contacting our support at support@tradezily.com . Termination of your account will be handled in accordance with our data retention policy (see Privacy Policy for details on data deletion). If you terminate a paid subscription, note that per our cancellation policy (Section 5), you may not receive a refund for the unused period, but you will generally retain access until the subscription term ends.

Termination or Suspension by Us: We reserve the right to suspend or terminate your access to the Tradezily Service (or any part thereof) at our discretion, with or without notice, if we believe that:

You have violated any provision of these Terms or acted in a manner that clearly shows you do not intend to, or are unable to, comply with these Terms.
You have used the Service in a way that causes risk or possible legal exposure to us or any other users (for example, hacking, fraud, abuse, or other misconduct).
We are required to do so by law (for example, if the provision of the Service to you is unlawful in your country or if ordered by a court).
We decide to discontinue the Service entirely (in which case we would likely provide notice).

If your account is terminated by us due to a breach of these Terms or unlawful activity, you will not be entitled to any refunds for subscriptions already paid. We may also bar you from re-registering or using the Service in the future.

Effect of Termination: Upon termination of your account or access, whether by you or by us:

Your right to use the Service will immediately cease. You must delete or uninstall any copies of the Tradezily software in your possession (except to the extent you have a separate continued right under some other license, which is not anticipated).
We may disable your account and deny you access to any part of the Service, including your data stored on the Platform. We have no obligation to retain any of your information after termination, except as required by law. It is your responsibility to export or back up any data you wish to keep prior to terminating your account (if applicable and if the software provides export options).
Sections of these Terms which by their nature should survive termination (such as Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, etc.) will survive.

13. Governing Law and Dispute Resolution

These Terms of Use and any dispute or claim arising out of or relating to the Service or these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles.

If you are a consumer residing in the European Union, you may have the benefit of certain mandatory provisions of the law of your country of residence. We do not seek to deprive you of the protections of those provisions; therefore, to the extent those laws apply, they would govern. However, in the absence of such provisions or to the extent permissible, Romanian law will apply.

Jurisdiction: You agree that any dispute arising under these Terms or relating to your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Bucharest, Romania, unless otherwise required by applicable consumer law (for instance, EU consumers may have the right to bring claims in their home country’s courts). We each agree to submit to the personal jurisdiction of such courts.

Dispute Resolution and Notifications: We encourage you to contact us first at support@tradezily.com if you have any issues with the Service, as we would like to resolve disputes amicably. In the event of any controversy or claim, we are open to discussing resolution through negotiation or mediation before resorting to litigation, if you are willing. This is not a requirement, but a suggestion to potentially save both parties time and expense.

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be brought within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred (this one-year limitation may not apply for consumers in certain jurisdictions which do not allow such a limitation).

14. Miscellaneous

Entire Agreement: These Terms (along with the Privacy Policy and Disclaimer and any additional guidelines or terms provided for specific services or features) constitute the entire agreement between you and Paradoxo IT Solutions SRL regarding the use of Tradezily. They supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect. The invalid provision will be deemed modified so that it is valid and enforceable to the fullest extent permitted by law, reflecting the intent of the original provision.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Paradoxo IT Solutions SRL. Similarly, if you fail to enforce or exercise any right or remedy under these Terms, it will not be considered a waiver of your rights.
Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law or otherwise. These Terms will inure to the benefit of and be binding upon each party’s permitted successors and assigns.
Relationship of Parties: These Terms do not create any joint venture, partnership, employment, or agency relationship between you and us. You are an independent user of the Service.
Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
Notices: We may provide you with notices, including those regarding changes to these Terms, by email (to the address associated with your account), regular mail, or postings on our website. Electronic notices to you will be deemed given when sent.
